After considering the recommendation of the Audit Committee and the Committee of Independent Directors of the Company, has inter-alia considered and approved a Scheme of Amalgamation of Achyut Healthcare Limited (Transferor Company) with and into Zenith Healthcare Limited (Transferee Company) and their respective shareholders and creditors (Scheme), under Sections 230 to 232 and other applicable provisions of the Companies Act, 2013 (Act), rules and regulations made thereunder read with Section 2 (6) of the Income Tax Act, 2025, for the aforementioned amalgamation, consequent dissolution of the Transferor Company without winding up and the issuance of equity shares by the Transferee Company to the equity shareholders of the Transferor Company as consideration.
