IL&FS Investment Managers Ltd has informed BSE that the members at the Annual General Meeting (AGM) of the Company held on July 27, 2011, inter alia, have approved the following:

1. Adoption of the Audited Balance Sheet as at March 31, 2011 and the Profit & Loss Account for the year ended as on that date and the Reports of Auditors and Directors thereon

2. Dividend of 75% on the Equity Shares (Rs 1.50 per share of the Face Value of Rs, 2/- each) for the year ended March 31, 2011.

3. Re-appointment of Mr. Arun Saha and Mr. Vibhav Kapoor as Directors of the Company.

4. Re-appointment of M/s Deloitte Haskins & Sells, Chartered Accountants, as the Statutory Auditors of the Company until the next Annual General Meeting

5. Appointment of Mr. Jitender Balakrishnan, Mr. Ramesh Bawa and Mr. Siddharth Mehta as Directors of the Company.

6. Re-appointment and remuneration of Dr Archana Hingorani as a Wholetime Director (designated as the Chief Executive Officer and Executive Director) of the Company.
